Not really any down side if you get quality spacers ie h&r, eibach... Spacers help push the wheel out to your liking. But I believe the max you can run is 30mm spacer. But just be careful on pushing out the front wheels, since they turn you can have fender problems if you do it wrong.
I'm running 20mm Eibach spacers in the rear, and no problems!

As long as your car is properly aligned and the wheels are balanced you should not notice any performance handling issues. Warranty...I've heard some funny stories...so if you ever need to take the car to a dealer for suspension issues then take the spacers out.

If you get 30mm I think you need longer bolts because the stock ones are likely to snap if you drive aggresive. Some members had that happen at track where the cars were going through extreme loads manuevers. I got spacers for my spare. The stock bolts dint screw in far enough to be safe, so the wheel shop gave me longer bolts. I needed spacers because the spare comes from an E46, so you have to have spacers or the wheel wont clear the brakes on the E9x. Just my 2 cents.
