On the N54, it's on the top of the back part of the engine bay, closest to the window. That long black box thing that goes across the engine bay. There's a few bolts you need to take off to remove the cover and it's right there. I just changed mine a month ago. It actually wasn't that bad. I have 63k on my car.

I think I read that you're suppose to change it once a year or 2. But I usually forget about it. Probably changed mine once each in all my cars when I owned. I changed mine on my e93 recently since I was changing my air filter. Unless it smells I think no one really thinks to change it.

I'm not 100% sure, but I think if it gets REAL bad you'll get a SES light. Like I said I'm not positive about that, but I think that's the case. If the dealer won't replace it for you, you can find them pretty much anywhere for $30... give or take a couple bucks.
